| Terry O'Brien,
Chief Executive Officer |

| As Chief Executive Officer, Terry
O'Brien sets the overall strategic direction and vision for
PrimeLearning.com®. He began his career as a courseware
developer and instructional designer with Ericsson and CBT
Systems. In 1988, he established his own CBT training company,
Mindware Training Technologies. Focused on developing content
for the telecommunications industry, Mindware acquired such
notable clients as Deutsche Telekom, Xerox, and Unisys, and
was a content provider to NETg. Mindware was acquired in 1996
by the Gartner Group, a leading IT consultancy, at which time
O'Brien was appointed Managing Director, Europe. He founded
PrimeLearning.com in 1999. O'Brien holds a Bachelor
of Science degree from the National University of Ireland
and a post-graduate Certificate in Media-based Education. |
| Mary O'Brien,
Chief Operations Officer |

| As Chief Operations Officer, Mary
O'Brien manages all operational aspects of the Company. She
cut her teeth in the training industry as an instructional
designer before co-founding Mindware Training Technologies.
At Mindware, she led all product development and operations,
creating more than 300 hours of content. She is recognized
throughout the training industry for her ability to assemble
top-notch development teams. O'Brien holds a Bachelor of Arts
degree and a Higher Diploma in Education, and a Bachelor of
Science degree in Psychology. She is currently completing a Masters degree in CyberPsychology.

| Derek Humphreys,
Chief Technology Officer |

| As Chief Technology Officer, Derek
Humphreys sets the Company's overall technology vision and
oversees all technology development and operations. He has
an extensive background in strategy formulation and development
of both Internet and traditional enterprise technologies.
He also has six years of experience in the training industry.
Prior to joining PrimeLearning.com®, he was CTO for
Access2 Ltd., an Internet start-up specializing in collaboration
technologies. Among his many accomplishments during his career
as both an independent consultant and line manager, he built
an Internet and Intranet training delivery system, developed
content creation tools, led an ERP integration effort, designed
Web- and CDROM-based training products, and implemented a
pension administration system. He has also acted as a consultant
to investment firms evaluating new technology start-ups. Humphreys
holds a Bachelor of Science degree in Computer Science from
Staffordshire University. |
| Fiona Howard,
Vice President, Product Development |

| Fiona Howard manages all courseware
development for the Company. She has extensive experience
with technology-based educational systems, having begun her
career as an instructional designer at Intuition Publishing,
where she was quickly promoted to head of the ID team. As
an educational consultant at Pick Resource Centre, she led
the development of an innovative new authoring system and
consulted with clients on the implementation of leading-edge
computer-based training programs. At Mindware Training Technologies,
she led instructional design, graphics design, and production.
Before joining PrimeLearning.com®, she was Director
of Title Development at Gartner Learning. Howard holds a Bachelor
of Arts degree and a Higher Diploma in Education from University
College, Dublin, and a Certificate in Courseware Design. |
| Michael
Delany, Director, Business Development and Channels |

| Michael Delany manages
business development and channel alliances for the Company.
He began his career as an instructional designer developing
CBT for Gartner Group, an information and technology research
and advisory firm with over 10,000 clients. He continued his
career as a senior instructional designer, mentor, trainer
and curriculum planner for NETg before joining PrimeLearning.comŽ
in 2000 as their curriculum planner. He then spent five years
working in commercial sales and business development for Bord
Gais Energy Supply and Airtricity, two of the largest Irish
energy supply companies. In early 2006, he returned to the
familiar ground of PrimeLearning.comŽ. Delany holds a Bachelor
of Arts degree in European Studies and a Master of Arts degree
by research/thesis from the University of Limerick. He also
holds a Certificate in Computer Networking Technologies from
the Limerick Institute of Technology. |
